Deployment Service Terms of Service

These Deployment Service Terms of Service ("Deployment Terms") govern your use of the app store deployment service ("Deployment Service") offered by Shaper Studio Inc. ("we", "us", or "our") through RapidNative.

These Deployment Terms are in addition to the general RapidNative Terms and Conditions and Privacy Policy. By purchasing the Deployment Service, you agree to be bound by these Deployment Terms.

1. Service Description

1.1 The Deployment Service is a done-for-you service where we prepare and submit your RapidNative project to the Apple App Store and/or Google Play Store on your behalf.

1.2 The scope of work depends on the plan purchased (Launch or Launch Pro) and is limited to what is described on the deployment service page at the time of purchase.

1.3 We do not guarantee that Apple or Google will approve your app. Store review decisions are made entirely by Apple and Google at their sole discretion. We will make reasonable efforts to address rejections within the number of rounds included in your plan.

1.4 Timelines listed on our website refer to our submission preparation time (the work we do), not the total time until your app is live. Apple and Google review times are outside our control and are in addition to our stated timelines.

2. Your Responsibilities

2.1 You must have an active Apple Developer Program membership ($99/year) and/or Google Play Developer account ($25 one-time) depending on the platforms you are targeting. We cannot create these accounts on your behalf.

2.2 You must provide us with the necessary access to your developer accounts (see Section 4) and your RapidNative project within 14 days of purchase. If access is not provided within 14 days, we will send a reminder. If access is still not provided within 30 days of purchase, we reserve the right to consider the project abandoned. In such cases, refund eligibility is determined by Section 7.

2.3 You are responsible for ensuring your app content complies with Apple's App Store Review Guidelines and Google Play Developer Policies. We will advise where possible, but final responsibility for app content rests with you.

2.4 You must respond to our communications within 5 business days. Delays in your response may extend our delivery timeline accordingly.

3. Payment and Pricing

3.1 All plan payments (Launch, Launch Pro, and Expedited add-on) are one-time payments processed through Stripe. Payment is due in full before work begins.

3.2 The Ongoing Updates add-on is a recurring monthly subscription. You may cancel at any time. Cancellation takes effect at the end of the current billing cycle. No partial refunds for the current month.

3.3 Prices are listed in USD and are subject to change. Any price changes will not affect orders already placed and paid for.

3.4 Apple Developer Program fees ($99/year) and Google Play Developer registration fees ($25) are not included in our pricing and are your responsibility.

4. Account Access and Security

4.1 We request the minimum level of access necessary to perform the Deployment Service. For Apple, this means an invitation as an App Manager (limited role) through App Store Connect. For Google Play, this means a user invitation with release manager permissions.

4.2 We do not request, store, or retain your account passwords. All access is granted through the official invitation mechanisms provided by Apple and Google.

4.3 You may revoke our access at any time after your app has been successfully submitted. We recommend revoking access once the deployment is complete and you are satisfied with the result.

4.4 We will not access, modify, or interact with any other apps or data in your developer accounts beyond what is necessary for the specific project you have hired us to deploy.

4.5 If you prefer not to grant direct account access, we can perform the submission via a screen-sharing session where you retain full control. This may extend the timeline.

5. Confidentiality

5.1 We treat all information you share with us (including your app source code, developer account details, business plans, and communications) as confidential.

5.2 We will not share, sell, or disclose your confidential information to any third party, except as required by law or with your explicit written consent.

5.3 We will not use your app code, designs, or business information for any purpose other than performing the Deployment Service you have purchased.

5.4 Upon completion of the Deployment Service (or upon your request), we will delete any copies of your source code and project files from our systems within 30 days.

6. Ownership

6.1 You retain full ownership of your app, source code, store listing, and all associated intellectual property. We claim no rights to your app or any part of it.

6.2 Your app is published under your developer account. We never own, control, or have the ability to transfer your app or store listing.

6.3 Any store listing copy, screenshots, or privacy policies we create as part of the service are created for your use and become your property upon delivery.

7. Refund Policy

7.1 "Started work" means we have begun exporting your code, configuring certificates, creating store listing assets, or any other preparation activity for your submission.

7.2 If we have not started work on your project, you are entitled to a full refund.

7.3 If we have started work but have not yet submitted your app to the store(s), you are entitled to a 50% refund.

7.4 Once your app has been submitted to the store(s), no refund is available, as the work has been completed.

7.5 If your app is rejected by Apple or Google and we are unable to resolve the issue within the number of rejection fix rounds included in your plan, we will issue a 50% refund.

7.6 Refunds are processed through Stripe and typically take 5-10 business days to appear on your statement.

8. Timelines

8.1 All timelines are stated in business days (Monday through Friday, excluding public holidays).

8.2 Timelines begin when we have received (a) payment, (b) developer account access, and (c) your RapidNative project. If any of these are delayed, the timeline starts from the date the last item is received.

8.3 Timelines refer to the time we need to prepare and submit your app to the store(s). Store review times by Apple and Google are not included and are outside our control.

8.4 If we require information or action from you during the process, the timeline is paused until you respond.

9. Limitation of Liability

9.1 We are not liable for any app rejection by Apple or Google. We will make reasonable efforts to resolve rejections within the rounds included in your plan, but we cannot guarantee approval.

9.2 We are not liable for any revenue loss, business interruption, or damages arising from delays in store review, rejection, or removal of your app by Apple or Google.

9.3 Our total liability under these Deployment Terms shall not exceed the amount you paid for the Deployment Service.

9.4 We are not responsible for any issues with your app after submission, including but not limited to bugs, crashes, security vulnerabilities, or compliance issues, unless you have purchased the Ongoing Updates add-on and the issue falls within its scope.

10. Termination

10.1 You may cancel the Deployment Service at any time by emailing deploy@rapidnative.com. Refund eligibility is determined by Section 7.

10.2 We reserve the right to refuse or cancel the Deployment Service if your app contains illegal content, violates third-party rights, or is otherwise unsuitable for submission. In such cases, a full refund will be provided.

11. Ongoing Updates Add-on

11.1 The Ongoing Updates add-on ($199/month) includes up to 2 app update submissions per month. This covers new version builds, metadata changes (descriptions, keywords, screenshots), and resubmissions to the store(s).

11.2 The Ongoing Updates add-on does not include new feature development, code changes, bug fixes, redesigns, or any work beyond preparing and submitting updates you have already built in RapidNative.

11.3 Unused submissions do not roll over to the next month.

12. Indemnification

12.1 You agree to indemnify and hold harmless Shaper Studio Inc., its officers, employees, and contractors from any claims, damages, or expenses (including legal fees) arising from (a) the content of your app, (b) your app's violation of any third-party rights, including intellectual property rights, or (c) your breach of these Deployment Terms.

12.2 We are not responsible for reviewing your app for intellectual property infringement, trademark violations, or legal compliance. You represent that you have the right to publish the app content.

13. Force Majeure

13.1 We are not liable for delays or failure to perform the Deployment Service due to circumstances beyond our reasonable control, including but not limited to: changes to Apple or Google review policies, extended store review times, platform outages, natural disasters, or government actions.

13.2 In the event of a force majeure, we will notify you promptly and make reasonable efforts to resume the service as soon as possible.

14. Governing Law and Disputes

14.1 These Deployment Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Any disputes arising from these Deployment Terms shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association.

15. Changes to These Terms

15.1 We may update these Deployment Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date.

15.2 Changes do not apply retroactively to orders already placed and paid for.

16. Entire Agreement

16.1 These Deployment Terms, together with the general RapidNative Terms and Conditions and Privacy Policy, constitute the entire agreement between you and Shaper Studio Inc. regarding the Deployment Service.

16.2 Any prior conversations, emails, or verbal agreements regarding the Deployment Service are superseded by these Deployment Terms.
