RapidNative Pro — Subscription Terms of Service

These Subscription Terms of Service ("Pro Terms") govern your use of the RapidNative Pro productized development service ("Pro Service") offered by Shaper Studio Inc. ("we", "us", or "our") through RapidNative.
These Pro Terms are in addition to the general RapidNative Terms and Conditions and Privacy Policy. By subscribing to the Pro Service, you agree to be bound by these Pro Terms.
1. Service Description
1.1 The Pro Service is a recurring monthly subscription that provides ongoing React Native / Expo development work on your behalf, delivered asynchronously through a shared task board.
1.2 The scope of each plan (Starter, Growth, Scale) is limited to what is described on the Pro service page at the time of your subscription.
1.3 The Pro Service covers development tasks within the React Native and Expo ecosystem only. We do not provide Swift, Kotlin, Flutter, Web3, or ML/AI model training work.
1.4 The Pro Service does not include full app builds from scratch, design-only work without development, or work outside the technologies listed on the service page.
2. Requests and Delivery
2.1 "Request" means a single, clearly scoped development task submitted through your private project board on our platform. Examples: "integrate Stripe," "add push notifications," "set up Supabase authentication."
2.2 Each plan has a limit on how many requests can be "active" (in progress) simultaneously: Starter (1), Growth (2), Scale (3). There is no limit on total requests submitted per month.
2.3 If we determine a request is too large to be a single task, we will split it into smaller requests and inform you before starting. Each split portion counts as one active request.
2.4 Turnaround times listed on our website (1-3 business days, 3-5 business days) are estimates, not guarantees. We will provide an ETA when we begin work on each request. Complex or unusual requests may take longer.
2.5 Each request includes unlimited revisions until you are satisfied with the result. However, revisions must be within the original scope of the request. Expanding the scope constitutes a new request.
2.6 All requests must be submitted through the task board. We do not accept ad-hoc requests via Slack, email, or other messaging channels. Direct messaging channels (Growth and Scale plans) are for quick questions, not request submissions.
3. Payment, Billing, and Subscription
3.1 The Pro Service is a recurring subscription billed monthly or annually through Stripe. Your subscription renews automatically at the end of each billing cycle unless cancelled or paused.
3.2 Prices are listed in USD and are subject to change. Any price changes take effect at the start of your next billing cycle. We will notify you at least 14 days before a price increase.
3.3 Upgrades take effect immediately and are pro-rated for the remainder of your current billing cycle. Downgrades take effect at the start of your next billing cycle.
3.4 Annual subscriptions are billed upfront for the full year. The discounted rate applies only for the duration of the annual commitment.
4. Pausing Your Subscription
4.1 You may pause your subscription at any time. Billing stops immediately upon pausing.
4.2 Unused days from your current billing cycle carry forward. For example, if you pause on day 20 of a 30-day cycle, you have 10 days banked. When you resume, those 10 days are applied before a new billing cycle begins.
4.3 Your task board, work history, and all delivered code are preserved while paused. No re-onboarding is required to resume.
4.4 Any requests that are in progress when you pause will be completed and delivered before the pause takes effect.
4.5 Pausing is available for monthly subscriptions only. Annual subscriptions may pause for a maximum of 60 days per year.
5. Cancellation and Refunds
5.1 You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle. You retain access to the service for the remainder of the paid period.
5.2 New subscribers are entitled to a full refund within the first 7 days of their initial subscription if they are not satisfied, no questions asked.
5.3 After the 7-day period, no refunds are issued for partial months. You may pause your subscription instead to preserve unused days.
5.4 Annual subscriptions cancelled before the end of the annual period are not eligible for a pro-rated refund, except within the initial 7-day window.
5.5 If we are fundamentally unable to deliver on a specific request (due to technical limitations outside the React Native ecosystem, for example), we will refund the pro-rated value of that request.
6. Account Access and Code Ownership
6.1 You retain full ownership of all code, assets, and deliverables produced as part of the Pro Service. We claim no rights to your work.
6.2 We may require access to your codebase (via GitHub, GitLab, or similar), third-party service accounts (Supabase, Firebase, Stripe, etc.), and developer accounts (Apple, Google). We request only the minimum access needed.
6.3 You may revoke our access at any time. Revoking access to essential services while requests are in progress may delay delivery.
6.4 Upon cancellation, we recommend revoking all access granted to us. We will not access your accounts or code after your subscription ends.
7. Confidentiality
7.1 We treat all information you share with us (including source code, business logic, API keys, user data structures, and communications) as confidential.
7.2 We will not share, sell, or disclose your confidential information to any third party, except as required by law or with your explicit written consent.
7.3 We are happy to sign a mutual NDA before starting work. If you require one, email us at pro@rapidnative.com.
7.4 Upon cancellation (or upon your request), we will delete any copies of your source code and project files from our systems within 30 days.
8. Communication and Support
8.1 All plans include a private project board on our platform for request management and asynchronous communication.
8.2 Growth plans include a weekly 30-minute sync call and a direct Slack/Discord channel. Scale plans include unlimited sync calls.
8.3 Our working hours are Monday through Friday (business days). Requests submitted on weekends or holidays will be picked up on the next business day.
8.4 We will notify you of any planned absences or reduced capacity at least 5 business days in advance.
9. Limitation of Liability
9.1 Our total liability under these Pro Terms shall not exceed the amount you paid for the Pro Service in the 3 months preceding the claim.
9.2 We are not liable for any revenue loss, business interruption, data loss, or indirect damages arising from the use of our deliverables.
9.3 We deliver code to the best of our ability, but we do not guarantee that deliverables will be free of bugs or errors. We will fix issues reported within the scope of the original request at no additional cost.
9.4 We are not liable for issues caused by third-party services (Supabase, Firebase, Stripe, Apple, Google, etc.) or changes to their APIs, policies, or pricing.
10. Indemnification
10.1 You agree to indemnify and hold harmless Shaper Studio Inc. from any claims, damages, or expenses arising from (a) the content or functionality of your app, (b) your app's violation of any third-party rights, or (c) your breach of these Pro Terms.
10.2 We are not responsible for reviewing your app for intellectual property infringement or legal compliance. You represent that you have the right to build and publish the app.
11. Force Majeure
We are not liable for delays or failure to deliver due to circumstances beyond our reasonable control, including but not limited to: third-party service outages, natural disasters, government actions, or changes to platform policies by Apple, Google, or other providers. We will notify you promptly and resume work as soon as possible.
12. Governing Law and Disputes
12.1 These Pro Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
12.2 Any disputes shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association.
13. Changes to These Terms
13.1 We may update these Pro Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date.
13.2 Material changes will be communicated via email at least 14 days before taking effect. Changes do not apply retroactively to work already delivered.
14. Entire Agreement
14.1 These Pro Terms, together with the general RapidNative Terms and Conditions and Privacy Policy, constitute the entire agreement between you and Shaper Studio Inc. regarding the Pro Service.
14.2 Any prior conversations, emails, or verbal agreements regarding the Pro Service are superseded by these Pro Terms.
